1. Introduction and Acceptance of Terms

Welcome to VadhuMilan ("the App," "the Platform," "the Service"), a matrimonial and matchmaking application operated by Latentium Labs ("the Company," "we," "us," "our").

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Latentium Labs governing your access to and use of the VadhuMilan mobile application, website (vadhumilan.com), and all related services.

By downloading, installing, accessing, or using VadhuMilan, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform and delete your account.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the App and our website with a revised "Last Updated" date. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Eligibility

2.1 Age Requirement

You must be at least eighteen (18) years of age to create an account on or use VadhuMilan. By registering for an account, you represent and warrant that you are at least 18 years old. If we discover or have reason to believe that a User is under 18 years of age, we will promptly terminate that account and delete all associated data.

2.2 Legal Capacity

You represent and warrant that you have the legal capacity to enter into a binding agreement under applicable law, including the Indian Contract Act, 1872. If you are registering on behalf of another individual (for example, as a family member or authorized representative), you represent and warrant that you have obtained that individual's express consent and legal authorization to do so.

2.3 Prohibited Users

You may not use VadhuMilan if:

• You have been previously terminated or banned from the Platform.
• You are prohibited from using the Service under the laws of India or any other applicable jurisdiction.
• You are a convicted sex offender or have been convicted of any offense involving violence, fraud, or harassment.
• You are currently married and seeking extramarital relationships (VadhuMilan is a matrimonial platform intended for individuals seeking marriage).

3. Account Registration and Security

3.1 Account Creation

To use VadhuMilan, you must create an account by providing accurate, current, and complete information as prompted by the registration process. You agree to update your information promptly to keep it accurate, current, and complete.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to:

• Not share your account credentials with any third party.
• Notify us immediately at contact@latentium.com if you suspect any unauthorized access to or use of your account.
• Accept full responsibility for all activities that occur under your account.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 One Account Per Person

Each individual may maintain only one active VadhuMilan account. Creating multiple accounts is a violation of these Terms and may result in the termination of all associated accounts.

4. User Profile and Conduct

4.1 Profile Information Accuracy

You are solely responsible for the accuracy, completeness, and truthfulness of all information you provide on your profile, including but not limited to your name, age, photographs, educational background, occupation, religion, community, family details, and personal preferences.

You represent and warrant that:

• All information you provide is true, accurate, and not misleading.
• All photographs you upload are of yourself (or the person on whose behalf you are registering, with their consent) and are recent and unaltered in any material way.
• You will not impersonate any other person or misrepresent your identity, affiliation, or credentials.

We reserve the right to request verification of any information you provide and to suspend or terminate your account if any information is found to be false, misleading, or incomplete.

4.2 Prohibited Conduct

You agree not to engage in any of the following activities while using VadhuMilan:

Harassment and Abuse:

• Harassing, threatening, intimidating, stalking, or abusing any other User.
• Sending unsolicited, offensive, sexually explicit, or otherwise inappropriate messages.
• Engaging in hate speech, discrimination, or conduct based on race, religion, gender, caste, ethnicity, sexual orientation, disability, or any other protected characteristic.

Fraud and Deception:

• Creating fake, misleading, or fraudulent profiles.
• Using the Platform for catfishing, phishing, scamming, or any form of financial fraud.
• Soliciting money, gifts, or financial assistance from other Users.
• Misrepresenting your marital status, age, identity, or intentions.

Misuse of the Platform:

• Using VadhuMilan for any commercial, advertising, or promotional purposes without our prior written consent.
• Collecting, harvesting, or storing personal data of other Users without their consent.
• Using automated scripts, bots, crawlers, or other automated means to access the Service.
• Attempting to interfere with, compromise, or disrupt the Service or its servers, networks, or infrastructure.
• Reverse engineering, decompiling, or disassembling any part of the App.
• Circumventing or attempting to circumvent any security measures, access controls, or usage limits.

Illegal Activity:

• Using the Platform for any purpose that is unlawful under applicable Indian law or any other applicable jurisdiction.
• Promoting, facilitating, or engaging in human trafficking, prostitution, or any form of exploitation.
• Sharing content that constitutes child sexual abuse material (CSAM) or exploits minors in any way.

4.3 Reporting Violations

If you encounter any User who violates these Terms, engages in prohibited conduct, or makes you feel unsafe, please report the User through the in-app reporting feature or by contacting us at contact@latentium.com. We take all reports seriously and will investigate promptly.

5. User-Generated Content

5.1 Definition

"User-Generated Content" or "User Content" refers to all content you create, upload, post, transmit, or otherwise make available through VadhuMilan, including but not limited to profile photographs, biographical information, messages, and any other materials.

5.2 Ownership

You retain ownership of all User Content you submit to VadhuMilan. We do not claim ownership of your photographs, messages, or other personal content.

5.3 License Grant

By submitting User Content to VadhuMilan, you grant Latentium Labs a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content solely for the purposes of:

• Operating, providing, and improving the Service.
• Displaying your profile to other Users.
• Facilitating matchmaking and communication between Users.
• Promoting the Service (only with your prior consent for any use in marketing materials).

This license terminates when you delete your User Content or your account, except where your content has been shared with other Users (such as messages) or where retention is required by law.

5.4 Content Standards

You represent and warrant that your User Content:

• Does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
• Does not contain any material that is defamatory, obscene, pornographic, abusive, or otherwise objectionable.
• Does not contain viruses, malware, or any harmful code.
• Complies with all applicable laws and regulations, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

5.5 Content Moderation

We reserve the right, but are not obligated, to monitor, review, and remove any User Content at our sole discretion and without prior notice if we determine that such content violates these Terms or is otherwise objectionable. We are not responsible for any User Content posted by Users of the Service.

6. Fees and Payments

6.1 Lifetime Pro Membership

VadhuMilan offers a one-time, non-recurring Lifetime Pro Membership that unlocks the full set of premium features of the App for the lifetime of your account. Lifetime Pro is a single upfront purchase. There are no subscriptions, monthly fees, coin-based economies, pay-per-message charges, or other recurring charges.

6.2 Founding Member Program

As a limited-time program to support our initial launch, the first 1,000 registered members of VadhuMilan receive Lifetime Pro Membership free of charge. These members are designated as "Founding Members." Founding Member status is allocated on a first-come, first-served basis, is tied to the account, and is non-transferable. Once 1,000 Founding Member slots are filled, Lifetime Pro Membership will be available to subsequent users as a paid purchase at the then-current price.

6.3 Payment Processing

All Lifetime Pro purchases are processed through Apple's App Store (for iOS users) or Google Play (for Android users), subject to each platform's billing policies, terms, and refund rules. Latentium Labs does not directly handle your payment card information. Prices are displayed in your local currency at the time of purchase and may vary by region based on platform-determined pricing tiers.

6.4 Refunds

Refunds for Lifetime Pro purchases are governed by the policies of the platform through which the purchase was made (Apple App Store or Google Play). To request a refund, please contact Apple or Google directly through their standard support channels. For billing-related questions that cannot be resolved through the platform, you may also contact us at contact@latentium.com.

6.5 Future Changes

We reserve the right to introduce additional paid features, pricing tiers, or monetization options in the future. Any such changes will be communicated to Users in advance. Your existing Lifetime Pro Membership (whether purchased directly or granted as a Founding Member) will continue to include the premium features it originally unlocked, subject to reasonable updates and improvements to the Service.

7. No Guarantees on Matches or Outcomes

7.1 No Guarantee of Results

VadhuMilan is a platform that facilitates introductions between individuals seeking matrimonial alliances. We do not guarantee, promise, or warrant that:

• You will receive any specific number of matches, likes, or introductions.
• Any match or introduction will lead to a meeting, relationship, engagement, or marriage.
• Other Users will respond to your messages or express interest in your profile.
• The Platform will meet your personal expectations or requirements.

7.2 User Responsibility

You acknowledge and agree that:

• The decision to interact with, meet, or pursue a relationship with any other User is made entirely at your own discretion and risk.
• Latentium Labs is not responsible for the conduct, behavior, truthfulness, or compatibility of any User, whether online or offline.
• You are solely responsible for taking appropriate precautions and exercising due diligence when communicating with or meeting other Users, including conducting your own background verification.
• We strongly recommend meeting in public places, informing trusted individuals of your plans, and exercising caution when sharing personal information.

7.3 No Background Verification

While we may implement certain verification features, VadhuMilan does not conduct comprehensive background checks on Users. We do not verify the criminal history, financial standing, marital history, or any other background information of Users. Any verification badges or indicators on the Platform are limited in scope and should not be relied upon as a substitute for your own due diligence.

8. Intellectual Property

8.1 Company Intellectual Property

The VadhuMilan name, logo, brand identity, visual design, user interface, user experience, source code, algorithms, software, graphics, icons, illustrations, text, and all other elements of the App and website (collectively, "Company IP") are the exclusive property of Latentium Labs and are protected by applicable intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, and international intellectual property treaties.

8.2 Restrictions

You may not, without our prior written consent:

• Copy, reproduce, modify, distribute, or create derivative works based on any Company IP.
• Use the VadhuMilan name, logo, or any confusingly similar marks for any purpose.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use any Company IP for commercial purposes or in connection with any product or service that is not VadhuMilan.

8.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation or compensation to you.

9. Account Suspension and Termination

9.1 Termination by You

You may delete your account at any time through the account settings within the App or by contacting us at contact@latentium.com. Upon account deletion:

• Your profile will be removed from the Platform and will no longer be visible to other Users.
• Your personal data will be handled in accordance with our Privacy Policy and applicable data protection laws.
• Certain information may be retained as required by law or for legitimate business purposes (such as resolving disputes or enforcing these Terms).

9.2 Termination by Us

We reserve the right to suspend, restrict, or permanently terminate your account, without prior notice or liability, if:

• You violate any provision of these Terms.
• You engage in prohibited conduct as described in Section 4.2.
• We receive credible reports of harassment, fraud, or abuse from other Users.
• We are required to do so by law, regulation, or court order.
• We reasonably believe that your account poses a risk to the safety, security, or well-being of other Users or the Platform.
• Your account has been inactive for an extended period, as determined by us.

9.3 Effect of Termination

Upon termination of your account, whether by you or by us:

• Your right to access and use the Service immediately ceases.
• We may delete your profile, User Content, and associated data, subject to our data retention obligations under applicable law.
• Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5.3 (License Grant, to the extent applicable), 7 (No Guarantees), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 12 (Dispute Resolution).

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LATENTIUM LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE OR ANY CONTENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LATENTIUM LABS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
• Any damages arising from or related to your interactions with other Users, whether online or offline, including but not limited to personal injury, emotional distress, property damage, or financial loss.
• Any damages resulting from unauthorized access to or alteration of your data or transmissions.
• Any damages arising from the conduct of any third party on the Service.

IN ANY EVENT, THE AGGREGATE LIABILITY OF LATENTIUM LABS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO LATENTIUM LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND INDIAN RUPEES (INR 1,000), WHICHEVER IS GREATER.

10.3 Acknowledgment

You acknowledge that Latentium Labs has offered the Service, set its prices, and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, and that these provisions form an essential basis of the bargain between you and Latentium Labs.

11. Indemnification

You agree to indemnify, defend, and hold harmless Latentium Labs, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees and court costs) arising out of or related to:

• Your use of or access to the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any applicable law, regulation, or third-party rights.
• Your interactions with other Users, whether online or offline.
• Any dispute between you and any other User of the Service.

This indemnification obligation shall survive the termination of your account and these Terms.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at contact@latentium.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most concerns can be resolved quickly and amicably through direct communication.

12.3 Arbitration

If the dispute cannot be resolved informally within thirty (30) days, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be:

• Conducted by a sole arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator within fifteen (15) days, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
• Held in Hyderabad, Telangana, India.
• Conducted in the English language.
• The arbitral award shall be final and binding on both parties and enforceable in any court of competent jurisdiction.

12.4 Jurisdiction

Subject to the arbitration clause above, the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

12.5 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

13. Privacy

Your use of VadhuMilan is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

14. Third-Party Services

14.1 Third-Party Links and Services

VadhuMilan may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Latentium Labs. We are not responsible for the content, privacy policies, practices, or availability of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and conditions.

14.2 App Stores

Your download and use of VadhuMilan through the Apple App Store, Google Play Store, or any other application distribution platform is also subject to that platform's terms of service. In the event of a conflict between these Terms and the terms of any app distribution platform, these Terms shall prevail to the extent permitted.

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.

16. Account Deletion and Data Portability

16.1 Right to Delete

You have the right to delete your account at any time. To delete your account:

• Use the account deletion option available in the App settings, or
• Send a request to contact@latentium.com from the email address associated with your account.

We will process your account deletion request within a reasonable time, not exceeding thirty (30) days from receipt of a verified request.

16.2 Effect of Deletion

Upon account deletion:

• Your profile and User Content will be permanently removed from the Platform.
• Messages you have sent to other Users may still be visible to those Users but will no longer be associated with your profile.
• We may retain certain data as required by applicable law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or for legitimate business purposes as described in our Privacy Policy.

16.3 Data Portability

You may request a copy of your personal data by contacting us at contact@latentium.com. We will provide your data in a commonly used, machine-readable format within a reasonable time, subject to applicable law.

17. Notices and Communications

17.1 Notices from Us

We may send you notices, updates, and communications through the App (via push notifications or in-app messages), by email to the address associated with your account, or by posting on our website. You are responsible for keeping your contact information current.

17.2 Notices from You

All legal notices, requests, or communications to Latentium Labs should be directed to:

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Waiver

The failure of Latentium Labs to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of Latentium Labs.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the App or website, constitute the entire agreement between you and Latentium Labs concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Latentium Labs regarding the Service.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Latentium Labs. Latentium Labs may assign or transfer its rights and obligations under these Terms without restriction and without notice to you.

22. Force Majeure

Latentium Labs shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.

23. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, any grievances, complaints, or concerns regarding the Service, User Content, or these Terms may be directed to our Grievance Officer:

We will acknowledge your grievance within twenty-four (24) hours and endeavor to resolve it within fifteen (15) days from the date of receipt, in accordance with applicable law.
